Gitora Terms and Conditions and Policies

These Terms and Conditions and Policies (the "Terms") govern the purchase and use of Gitora Version Control (the "Software") and any related services provided by the Company. By purchasing, downloading, installing, accessing, or using the Software, you agree to these Terms.

If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization.

1) Business and product description

What we sell: Digital software subscriptions to Gitora Version Control, a tool that helps teams use Git-based workflows with Oracle Database development by tracking changes to database objects in a Git repository and supporting collaboration and deployment workflows.

Delivery method: The Software is delivered electronically. After purchase, license key(s) and any activation instructions are sent by email to the address used at checkout.

Optional remote support sessions, if offered, are coordinated by email.

3) Subscription term, ordering, and payment

3.1 Subscription term

Gitora Version Control is sold as a subscription for the term stated on the applicable quote or checkout page (typically annual). The subscription starts when license keys are delivered or when the license is activated, whichever occurs first.

3.2 Payment processing

Payments are processed by Stripe or another payment processor used by the Company. Full payment card details are not stored by the Company. Payment is also subject to the processor's terms.

3.3 Taxes

Prices may exclude taxes unless stated otherwise. Customers are responsible for any applicable taxes, duties, or similar governmental assessments, except where the Company is required to collect them.

4) Renewals, cancellation, and nonpayment

4.1 Renewal options

Renewals can occur in either of these ways, depending on customer preference:

  1. Manual renewal: Customers request renewal by email and the Company provides an invoice or payment link.
  2. Automatic renewal (if enabled): If customers opt into auto-renewal through Stripe, customers authorize the payment method on file to be charged at the then-current renewal price shown at checkout or invoice.

If customers do not renew, the subscription ends at the end of the then-current term.

4.2 Cancellation of auto-renewal

If automatic renewal is enabled, customers can cancel auto-renewal at any time before the renewal date by contacting contact@gitora.com. Canceling auto-renewal prevents future charges but does not change the current active term.

4.3 Failed payments

If an automatic renewal payment fails, the Company may retry the charge or request an alternative payment method. If payment is not completed, the subscription may expire or be suspended.

5) Trials and free version

The Company may offer a trial period and/or a free version with limited features. Trial and free access terms may be shown on the website, in the product, or in related communications. The Company may modify or end trials or free offerings at any time, except where prohibited by law.

6) License grant and permitted use

6.1 License grant

Subject to compliance with these Terms and payment of all applicable fees, the Company grants a limited, non-exclusive, non-transferable license to use the Software during the subscription term for internal purposes.

6.2 Seat limits

Subscriptions may be subject to seat or user limits as stated in the quote, invoice, or checkout. Customers must not exceed purchased limits.

6.3 Restrictions

Customers must not, and must not allow others to:

  • Reverse engineer, decompile, or disassemble the Software except where such restriction is prohibited by law
  • Circumvent license enforcement or security controls
  • Rent, lease, sublicense, sell, transfer, or resell the Software or access to it
  • Use the Software to provide a hosted service, managed service, or service bureau offering to third parties unless explicitly agreed in writing by the Company
  • Remove or alter proprietary notices

7) Acceptable use

Customers agree not to use the Software in a way that:

  • Violates applicable laws or regulations
  • Infringes intellectual property rights
  • Introduces malware or disrupts systems
  • Attempts unauthorized access to accounts, systems, or networks

8) Updates and changes

During an active subscription, the Company may provide updates, bug fixes, and improvements. Features may change over time. Some updates may require installation of a newer version.

9) Intellectual property

The Software and all related intellectual property rights are owned by the Company and/or its licensors. These Terms do not grant ownership rights in the Software.

10) Warranty disclaimer

To the maximum extent permitted by law, the Software is provided "as is" and "as available". The Company disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. The Company does not warrant that the Software will be uninterrupted or error-free.

Some jurisdictions do not allow certain disclaimers, so parts of this section may not apply.

11) Limitation of liability

To the maximum extent permitted by law:

  • The Company will not be liable for indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities.
  • The Company's total liability for any claim related to the Software or these Terms will not exceed the total amount paid for the Software in the 12 months before the event giving rise to the claim.

Some jurisdictions do not allow certain limitations, so parts of this section may not apply.

12) Refund policy and dispute policy

12.1 No-refunds policy

To the maximum extent permitted by law, all sales are final and non-refundable.

12.2 Limited exceptions

A refund (or replacement license keys) may be issued only in these limited situations:

  • Duplicate charge: the same order was charged more than once
  • Non-delivery: license keys were not delivered due to an issue on the Company's side and delivery cannot be resolved within a reasonable time after support is contacted
  • Legal requirement: a refund is required by applicable law

If a refund is approved, it will be issued to the original payment method.

12.3 How to request help before disputing a charge

For billing issues, customers should email contact@gitora.com with the invoice number and the email used at checkout. The Company will attempt to resolve issues promptly.

12.4 Chargebacks and payment disputes

Filing a chargeback without first contacting support may delay resolution and may result in suspension of license access while the dispute is investigated.

13) Promotions terms

If discounts, coupons, or limited-time promotions are offered:

  • Promotions are limited to the stated period and eligibility criteria.
  • Promotions have no cash value and cannot be combined unless explicitly stated.
  • Promotions may be modified or ended at any time, except where prohibited by law.
  • Promotional purchases remain subject to the Refund policy in these Terms.

14) Export controls and legal restrictions

Customers agree to comply with applicable export control and sanctions laws, including United States export control and sanctions requirements where applicable. Customers represent they are not a prohibited party and are not located in a region where providing the Software would be prohibited under applicable sanctions laws.

15) Termination

The Company may suspend or terminate access if there is a material breach of these Terms, failure to pay fees when due, or unlawful use of the Software. Upon termination or expiration, the license ends and use of the Software must stop.

16) Governing law and venue

These Terms are governed by the laws of the State of Delaware, USA, excluding Delaware's conflict of laws rules. Any dispute arising out of or relating to these Terms or the Software will be brought exclusively in the state or federal courts located in Delaware, and the parties consent to personal jurisdiction and venue in those courts.

If mandatory consumer protection law in a customer's jurisdiction requires a different governing law or forum, that law may apply to that customer to the extent required.

17) Changes to these Terms

These Terms may be updated from time to time. The "Last updated" date will change. If changes are material, reasonable efforts will be made to notify customers by email or by posting a notice on the website.
